D.S.C.C. Incorporation
 
I have spoken with Pres. Jerry Rowley and we both feel very strongly that
the DSCC should be incorporated. We had at least two unauthorized track
crossings (by non-DSCC members) during our last Gainesville event. If one
of our cars had struck someone, the club and it's officers could be held legally
responsible.
I have contacted a former employer and close friend who is a Florida attorney.
The state filing costs are 150 dollars plus his fees. I don't think he'll charge
very much as it is a standard package.
Unless I have an objection and an alternate plan of action, I will continue
along this course of action. I will present their office with our officer list and
basic structure documents next week. We will also need an office of record
address. Since we will be incorporated under FL laws, I suggest either
Ruble Moore's address or my post office box unless someone else wants to
step up to the plate.
I think we're all agreed that we want more track events. Incorporation seems to offer the best legal course of action to allow us to drive fast safely, and legally.

I definately agree with Joe. We must do this to limit our individual liability. We also should have some kind of insurance for general liability for non-speed events. We have been insured during our speed events, just for the actual event date.

This is a step towards getting recognized as a non-profit corporation by the IRS also. There is no Florida state tax.
We have the money now to get this done and I don't think we should hesitate. For incorporation, I suggest we use Joe's home address. This can be changed later, but at least he owns his property and it is a good safe address for the near future.

Unless we get negative comments, I want to get this done prior to the annual meeting in April.

Definitely sounds like the correct path to me. A question from a non-lawyer ... if we use Joe's home address, that doesn't imply any type of liability to him or the property does it? I know the point of incorporation is the liability is enclosed in that legal entity, juse want to make sure our members are covered.

At my lawyer's advice, I will probably get a seperate P.O. Box near my
home dedicated for DSCC use only. I'm still paying on my house.....and
will be for a while yet. (sigh)
When I speak with the lawyers next week, I'll ask them patrija's question.
If any other DSCC members have questions for our attorney, please post
them here.

I agree that we need to rent a seperate P.O. Box so our personal property is not somehow involved.
